NOTICE TO HOLDERS Helenbergh China Holdings Limited

(a company incorporated with limited liability under the laws of the Cayman Islands)

(the “Company”)

in respect of the

11.0% senior notes due March 2023 (ISIN: XS2297841962, Common Code: 229784196);

11.0% senior notes due October 2023 (ISIN: XS2376908344, Common Code: 237690834);

10.33% senior notes due October 2023 (ISIN: XS2553046587, Common Code: 255304658);

and 8.0% senior notes due November 2024 (ISIN: XS2551272250, Common Code: 255127225) (together, the “Notes”)

Reference is made to the restructuring support agreement dated December 1, 2023 entered into by the Company and certain holders of the Notes in relation to the Restructuring (as amended and supplemented, the “RSA”). Capitalized terms used in this notice that are not otherwise defined shall have the same meanings given to them in the RSA.

The Company hereby notify all holders of the Notes that the Consent Fee Deadline has been extended to 5:00 p.m. Hong Kong time on May 13, 2024.

The RSA (with any supplement thereto) can be found on the Transaction Website at https://www.dfkingltd.com/Helenbergh.

Holders who are interested in acceding to the RSA but have not yet done so may review the RSA as soon as possible and to accede to the RSA as an Additional Participating Creditor by delivering a validly completed and executed Accession Letter and Participating Debt Notice in respect of all of its Notes directly to the financial advisor of the Company via the following contact prior to the Consent Fee Deadline. For the avoidance of doubt, such Additional Participating Creditor will not be assigned a reference number and may ignore any provision referring to such reference number in the process of acceding to the RSA.
